У відповідності до ст. 651 ЦК України, зміна або розірвання договору допускається лише за згодою сторін, якщо інше не встановлено договором або законом, та відповідно до п. 4 ч.5 ст. 41 закону України «Про публічні закупівлі» істотні умови договору про закупівлю не можуть змінюватись після його підписання до виконання зобов’язань сторонами в повному обсязі, крім випадків, зокрема, продовження строку дії договору про закупівлю та строку виконання зобов’язань щодо передачі товару, виконання робіт, надання послуг у разі виникнення документально підтверджених об’єктивних обставин, що спричинили таке продовження, у тому числі обставин непереборної сили, затримки фінансування витрат замовника, за умови що такі зміни не призведуть до збільшення суми, визначеної в договорі про закупівлю, враховуючи, що відповідно частини 1 ст. 631 ЦК України, строком договору є час, протягом якого сторони можуть здійснити свої права і виконати свої зобов’язання відповідно до договору, приймаючи до уваги Протокол Керуючого комітету Проекту «Впровадження ERP» Замовника від 28.03.2022 р. про встановлення об’єктивних обставин, що спричинили продовження строку виконання зобов’язань, у тому числі обставин непереборної сили, Сторони дійшли згоди, та погодились продовжити строк виконання зобов’язання виклавши Додаток No2 до Договору «Календарний план» у новій редакції, що додається та є невід’ємною частиною цієї Додаткової угоди. 2. Керуючись п.4.8. Договору та враховуючи зміну показника індексу інфляції за період з 01.01.2021 р. до 31.12.2021 р., Сторони погодили змінити вартість за одиницю послуги з доопрацювання ERP-системи. |

Сторони, враховуючи зміну умов щодо надання пільг з оподаткування за Договором, а саме: припинення з 01.01.2023р. дії положень п. 26¹ підрозділу 2 розділу ХХ Податкового кодексу України про звільнення від оподаткування ПДВ вартості операцій з постачання програмної продукції, керуючись п. 15.7. Договору та п. 6 ч.5 ст. 41 Закону України «Про публічні закупівлі», дійшли взаємної згоди змінити ціну в Договорі пропорційно до зміни вищезазначеної пільги з оподаткування та викласти Додаток №3 (Кошторис-специфікація) до Договору в новій редакції, що додається до цієї Угоди (Додаток №1 до Угоди). 2. Керуючись п.4.8. Договору та враховуючи зміну показника індексу інфляції за період з 01.01.2022р. по 31.12.2022 р.,включно відповідно до Довідки Головного управління статистики у м. Києві №10.3-06/305-23 від 16.01.2023 р., Сторони погодили змінити вартість за одиницю послуги з доопрацювання ERP-системи. |
